Terms of Service

These Terms of Service govern the relationship between IntelAtlas and clients who engage us for website design, marketing strategy, SEO, branding, advertising management, or related digital services. By requesting our services, you agree to these terms.

1. Scope of Services

IntelAtlas provides digital marketing and web services, including website design, development, SEO, graphic design, content support, online store setup, branding, ad management, social media support, and related consulting. The specific services, deliverables, and project requirements will be defined in a written proposal, quote, or engagement agreement.

2. Client Responsibilities

Clients are responsible for providing timely access to information, content, images, business assets, login credentials, and feedback required for project completion. Delays caused by incomplete content, unclear direction, or unavailable approvals may extend deadlines and affect project milestones.

We may also require the client to provide final approval before launch or publishing, and we are not responsible for issues caused by late changes or incomplete feedback after approval has been provided.

3. Fees, Deposits, and Payments

Fees for services are set forth in the proposal, invoice, or project agreement. We may require a deposit before work begins, and remaining balances are due according to the agreed payment schedule. Projects are generally billed as work progresses or according to the agreed milestones.

Late or unpaid balances may result in suspension of work until the account is brought current. We reserve the right to stop work or withhold final deliverables if payments remain outstanding.

4. Project Timelines and Deliverables

Timelines are estimates based on the information available at the time of the proposal. We will do our best to meet target dates, but schedules can vary depending on project complexity, client responsiveness, content availability, and third-party dependencies. Deliverables are subject to the approved scope and may be adjusted if additional work is requested.

5. Content, Ownership, and Licensing

Clients are responsible for ensuring they have the rights to use any text, images, logos, videos, product data, or other materials they provide to us. IntelAtlas may use original design assets, templates, or proprietary frameworks as part of project execution, subject to the agreed engagement.

Unless otherwise agreed in writing, final website content and approved design work created specifically for the client may be considered project deliverables to be used by the client for their business. We may retain general knowledge, templates, or internal process materials not specifically assigned to the client.

6. Search Engine and Marketing Results

IntelAtlas helps clients improve visibility and marketing performance through strategy, optimization, content, and execution. However, we do not guarantee specific search rankings, page positions, lead volume, sales, conversion rates, or financial outcomes. Search engines, advertising platforms, consumer behavior, and market conditions are outside our direct control.

7. Confidentiality

We will treat client information as confidential to the extent reasonable and appropriate under the circumstances. We may use information needed to deliver services and comply with legal obligations, but we will not share confidential client information with unrelated third parties without authorization, except as required by law.

8. Third-Party Platforms and Services

Our services may rely on third-party tools, hosting providers, software platforms, ad networks, analytics systems, or external marketplaces. We are not responsible for the availability, performance, policies, or outages of these third-party services, though we will work with clients to minimize disruption where possible.

9. Warranties and Limitations

We aim to provide professional, high-quality work in line with the agreed scope and best practices. However, our services are provided on an "as is" basis, and we do not make guarantees beyond the specific deliverables and commitments stated in writing. To the maximum extent allowed by law, IntelAtlas shall not be liable for incidental, consequential, indirect, or special damages, including loss of business, lost revenue, or reputational harm, arising out of the services provided.

10. Termination

Either party may terminate an engagement under the terms set forth in the applicable proposal or agreement. Upon termination, unpaid fees for work completed, in progress, or approved will become immediately due. IntelAtlas may suspend services if the client fails to meet agreed obligations.

11. Governing Law

These Terms of Service are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. Any dispute arising from these terms or the services provided shall be resolved in a court of competent jurisdiction in Arizona.
